Website terms of use

These terms apply to the public pages, resources, forms, downloads and other publicly available functions on sinospect.com.

They do not replace the quotation, proposal, purchase-order acceptance, contract, statement of work, non-disclosure agreement or other written terms governing a particular supply order or service engagement. If project-specific written terms conflict with these website terms, the project-specific terms prevail for that engagement.

An authenticated portal, workbench, demonstration account or other restricted service may also be subject to separate access terms.

Website content, indicative pricing explanations, response commitments, inquiry acknowledgements, downloads and correspondence about a possible project do not by themselves create a binding supply or service contract.

Sinospect intends to enter a project engagement only through its express acceptance in an agreed written or electronic record identifying the contracting parties, scope, price and applicable commercial terms. This may take the form of an accepted quotation, signed contract, accepted purchase order or another expressly agreed record.

A pro forma invoice, preliminary estimate, automated message or acknowledgment of an inquiry is not, by itself, acceptance of an order. Published inquiry-response times describe Sinospect’s intake process. They are not project-delivery service levels unless incorporated into the applicable engagement terms.

The following matters are agreed for each project and should not be inferred from general website content:

• contracting and invoicing structure;
• specifications and acceptance criteria;
• price, currency, taxes and payment milestones;
• Incoterm and delivery point;
• freight, customs, insurance and local-delivery responsibilities;
• factory, supplier and subcontractor responsibilities;
• inspection, testing, reporting and document requirements;
• warranty period, exclusions and remedies;
• cancellation, rescheduling, overtime, travel and reinspection;
• installation, commissioning and site-support responsibilities; and
• governing law and dispute procedure for the engagement.

Nothing on the website establishes universal payment, delivery, warranty or remedy terms.

Sinospect can supply industrial materials and equipment as the contracting supplier. It can also perform China-side sourcing, supplier qualification, quality assurance, Factory Acceptance Test support, pre-shipment inspection and other defined controls for buyer-direct orders. The applicable proposal identifies Sinospect’s role and authority.

Unless specifically delegated in writing, the buyer retains responsibility for:

• the specification and intended use;
• design decisions and statutory requirements;
• approval of deviations or concessions;
• the final commercial acceptance decision; and
• destination-country import, certification and operational requirements allocated to the buyer.

An inspection, test witness, report or recommendation does not by itself transfer these responsibilities. Inspection and testing address the agreed scope, evidence, location and time. Sampling or bounded inspection cannot guarantee that every defect, omission, misrepresentation or future failure will be detected.

Sinospect is not an accredited inspection body. Where legislation, a procurement procedure or a certification route requires an accredited inspection body, notified body, authorised engineer or certificate issuer, the appropriately authorised party must be appointed.

Website resources, checklists, articles, templates and examples are provided for general procurement and project-evaluation purposes. They are not a substitute for:

• project-specific engineering;
• legal, tax or customs advice;
• certification or regulatory assessment;
• review by an appropriately qualified professional; or
• the agreed inspection or acceptance procedure for a particular order.

Standards, regulations, supplier status, technical data and market conditions can change. Verify information against the current project documents and applicable official sources before relying on it. Illustrative, anonymised or synthetic examples do not represent a promise that every engagement will use the same scope, evidence or outcome.

Reviewing a supplier, quotation, product or document through the website does not constitute approval, certification or a guarantee of performance.

Any supplier recommendation, inspection conclusion, release recommendation or warranty commitment is governed by the applicable written engagement and the evidence available for that assignment.

You are responsible for ensuring that information submitted through the website is accurate and that you have authority to provide it. You must not submit material that:

• infringes another person’s intellectual-property or confidentiality rights;
• contains malware or harmful code;
• is unlawful, misleading or fraudulent;
• relates to prohibited goods, parties or transactions; or
• you are not authorised to disclose.

You retain ownership of materials you submit. You grant Sinospect the limited permission needed to store, review, reproduce internally and use those materials to assess your inquiry, respond to you and perform any engagement that follows. This permission does not transfer ownership of your materials to Sinospect.

Submitting information through a general inquiry form does not automatically create a non-disclosure agreement. Do not submit highly sensitive technical or commercial information through a general form unless the relevant submission route expressly provides confidentiality protection or a separate non-disclosure agreement has been signed.

Inventor-application information submitted through the designated inventor process is treated in accordance with the confidentiality commitment stated on those pages. It is not shared with a factory or supplier without a signed non-disclosure agreement covering the product. A non-disclosure agreement becomes effective only when validly agreed by the relevant parties.

Unless otherwise stated, the website and its original text, design, graphics, methodology, downloads and other content belong to Sinospect or are used under licence. You may view, download and print website materials for your own internal evaluation and legitimate project use.

You must not, without prior written permission:

• republish substantial website content as your own;
• sell, sublicense or commercially redistribute a download;
• remove ownership notices;
• present a Sinospect resource as a certification or project-specific approval;
• use Sinospect’s name, logo or materials to imply endorsement; or
• copy the website to create a competing publication or service.

Ordinary linking to public pages is permitted, provided the link does not misrepresent Sinospect or imply an unauthorised relationship.

You must not:

• interfere with the website’s operation or security;
• attempt to access restricted accounts, files or systems without permission;
• test for vulnerabilities without written authorisation;
• introduce malicious or disruptive code;
• use the website for fraud, impersonation or unlawful activity;
• collect personal data from the website unlawfully;
• circumvent access controls or usage restrictions; or
• use automated access in a way that disregards published crawler instructions or imposes an unreasonable load.

Sinospect may restrict or suspend access where reasonably necessary to protect the website, its users or its systems.

Where Sinospect provides demonstration, portal or workbench access:

• credentials are personal to the authorised user;
• credentials must not be published, transferred or shared without permission;
• the user must protect the credentials and report suspected compromise;
• demonstration data must not be treated as a live project record unless expressly stated;
• access does not permit viewing another user’s information; and
• Sinospect may revoke or replace access for security or administration.

Separate invitation, product or project terms prevail where provided.

Submission of an inquiry does not oblige Sinospect to accept the project. Sinospect may request information needed for legal, trade, sanctions, export-control, anti-bribery, anti-money-laundering, safety or counterparty checks. It may decline or suspend an inquiry or engagement where reasonably required to comply with applicable law or manage material compliance risk.

You must not use the website to facilitate an unlawful transaction or conceal the identity, destination, end user or intended use of goods or services.

Sinospect takes reasonable steps to operate and protect the website but does not promise uninterrupted, error-free or permanently available access. The website may be changed, suspended or withdrawn for maintenance, security, operational or legal reasons.

You are responsible for maintaining appropriate security, backups and independent records for information important to your project.

Nothing in these terms excludes or restricts liability for death or personal injury resulting from negligence, or any other liability that cannot lawfully be excluded or restricted. Every limitation is subject to any applicable statutory reasonableness requirement.

To the extent permitted by law, Sinospect is not responsible for indirect or consequential loss, including lost profit, lost revenue or lost business opportunity, arising solely from:

• use of or inability to use the public website;
• reliance on general website content without project-specific verification;
• third-party websites or services; or
• unauthorised or unlawful use of the website by another person.

These limitations concern use of the public website. Liability arising from a supply order or service engagement is governed by the applicable project-specific agreement.
